Terms and Conditions

Agreement

These terms govern your use of manorlystr.com and the Manorly platform (together, the "Service"), operated by NovaScale LLC, 930 S 4th St, Ste 209 #6593, Las Vegas, NV 89101, USA ("Manorly", "we", "us"). By using the Service you agree to these terms and to our Privacy Policy. If you use it for a business, you confirm you can bind that business to these terms. A signed order form or service agreement with Manorly takes precedence over these terms where they conflict.

The service and your account

Manorly is hosted software for short-term rental owners and property managers ("Customers") to run direct bookings. Each Customer gets its own workspace: a separate install with its own database, domain and merchant account, which Manorly hosts, updates, backs up and monitors. Depending on the plan, the Service includes:

Accounts:

Fees and payments

Your guests, your policies, your disputes. You set deposits, balances, damage holds, cancellation and refund policies per property, and Manorly applies them as you configure them. You remain responsible for refunds, chargebacks and payment disputes on your bookings. The dispute-defense desk prepares and files responses, and files on time if you do nothing, but it does not guarantee any outcome.

Bookings are between you and your guest. Manorly provides the software only. We are not a party to any rental agreement, do not own or manage any property, and are not responsible for a stay, the property's condition or either party's conduct.

Your responsibilities

As a Customer, you are responsible for:

Guest data. You control the personal information of your guests, and Manorly processes it on your behalf to provide the Service. You must have a lawful basis and give guests any notice required for that processing, including explicit consent for biometric identity checks. You set the retention period for identity-check data. Identity results are a tool: you make the final decision to accept or decline a guest, and you must not use them to discriminate unlawfully.

Acceptable use. You must not use the Service to:

We may suspend a workspace that breaks these rules or puts the Service, other Customers or guests at risk. Where we can, we will tell you first.

Ownership and your data

Manorly owns the Service, its software, templates and branding. You get a non-exclusive, non-transferable right to use it during your subscription. You own your content and your data, including your guest records. You can export it through the API and exports at any time, and for 30 days after your subscription ends.

A custom website built by our studio is covered by its own quote, which sets out who owns the design.

Availability and disclaimers

We aim to keep the Service available and secure, and we take backups. Enterprise service levels apply only where agreed in writing. Otherwise the Service is provided "as is". We do not promise it will be uninterrupted or error-free, that identity checks will catch every fraudulent guest, or that any dispute will be won. Savings estimates and fee teardowns are illustrations, not guarantees.

Limitation of liability

To the extent the law allows, Manorly is not liable for indirect or consequential losses, such as lost bookings, revenue, profits or data. Our total liability for any claim is limited to the subscription fees you paid in the 12 months before the claim. We are not liable for the acts of guests, payment processors, channels or other third parties.

Indemnity

You will cover Manorly's reasonable losses and legal costs from a claim arising out of your properties, your stays, your content, your guests' data or your breach of these terms.

Termination

You can cancel at the end of any billing period. We can end or suspend your subscription with 30 days' notice, or at once if you seriously breach these terms, fail to pay, or your payment processor ends your merchant account. When a subscription ends, your workspace is suspended. Your data stays available for export for 30 days and is then deleted, except records we must keep by law.

Governing law

These terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in Clark County, Nevada. Nothing in this section removes consumer or privacy protections that the law of your state or country gives you and that cannot be waived.

Changes to these terms

We will post any change on this page with a new date. If a change is significant, we will email Customers at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the change.
